Intellectual Property & Transfer of Rights
Higdon Visual Narratives operates under a tiered licensing structure designed to provide clients with definitive legal certainty regarding their visual assets. Unless otherwise negotiated via a signed Work Made for Hire (WMFH) agreement or a Deed of Copyright Assignment, Higdon Visual Narratives retains primary authorship under 17 U.S.C. § 106. I offer two primary tiers of transfer: Exclusive Usage Rights, which grants the client sole commercial utility within a defined vertical or duration while retaining the artist’s right to portfolio display; and Full Transfer of Rights, which constitutes a total alienation of copyright, vesting all title, interest, and “bundle of rights” in the client. All transfers are contingent upon the satisfaction of all contractual financial obligations, ensuring a clean chain of title for the client’s corporate records.
Corporate Compliance & Regulatory Sensitivity
In serving clients within the Legal, Financial, and Medical sectors, I maintain a high-order awareness of the regulatory frameworks governing professional communications. I recognize the “Friction” inherent in corporate-backed entities, specifically regarding the SEC’s guidelines on Forward-Looking Statements and the strict internal boilerplate requirements of high-end marketing departments. My production workflow integrates seamlessly with your internal legal review processes; I will work with your internal legal dept. to avoid prohibited promissory language and adhere to industry-specific disclosure requirements.

TIER A: STANDARD USAGE LICENSE
Scope: Grant of Non-Exclusive License.
- Grant: Higdon Visual Narratives (HVN) grants Client a non-exclusive, non-transferable license to use the delivered assets for digital web and social media promotion only.
- Ownership: HVN retains full copyright and ownership. Assets may not be sold, sub-licensed, or used in television/theatrical broadcast without additional riders.
- Attribution: HVN reserves the right to display assets in professional portfolios and awards.
- Modification: No derivative works or “re-editing” by third parties is permitted without HVN written consent except as necessary for formatting or technical adaption,
TIER B: EXCLUSIVE INDUSTRY LICENSE
Scope: Grant of Exclusive Commercial Rights (Industry-Specific).
- Grant: HVN grants Client exclusive use of the assets within the sector. HVN agrees not to license these specific assets to Client’s direct competitors ever.
- Ownership: HVN retains primary copyright.
- Territory: Worldwide; Perpetual duration.
- Portfolio Right: HVN retains the right to use segments of the work for self-promotion and “behind-the-scenes” educational content without implying endorsement.
TIER C: FULL BUYOUT / COPYRIGHT TRANSFER
Scope: Alienation of Copyright & Total Asset Transfer.
- Transfer: Effective upon final payment, HVN hereby assigns, transfers, and conveys to Client all right, title, and interest in and to the Work, including all copyrights under 17 U.S.C. § 101 et seq.
- Open Assets: HVN can provide with additional agreement “Raw” or “Project Files” to include project architecture as requested (additional fees apply).
- Artist Credit: HVN retains a non-exclusive, royalty-free license to use the work solely for professional portfolio display.
- Warranties: HVN warrants that the work is original and does not infringe upon third-party IP.
